Nile & York Ltd Terms and Conditions

The terms and conditions stated below apply to all information given by Nile & York and all orders placed with Nile & York Ltd. Acceptance of these terms and conditions applies to any order, however placed or accepted and no other terms and conditions can apply in any circumstances.

Customers

We sell to trade customers only.

Products

Print and base fabric colours may vary between batches.
If an accurate match is required, we suggest a stock cutting is obtained for approval, before placing an order. Orders placed without a sample being sent are at the customers risk. Minimum order is 1.00 metre of fabric and orders can be placed in additional 20cm increments.

Pricing

Prices are ex-UK warehouse and subject to change but the current price can be confirmed prior to an order being placed. Carriage, duties, taxes, insurance and VAT (if applicable) are charged extra. VAT is charged at the rate prevailing on the date of order.

Refusal of Transaction

We may refuse to process an order for any reason or at any time prior to dispatch.

Delivery

All goods are held in stock. There may be occasions where an order is larger than the available stock, an alternative product may be suggested or an extended delivery time will be given and confirmed nearer the time of delivery. The goods become the responsibility of the customer once delivered.

Payment Terms

Invoices are to be paid no later than 30 days from date of invoice unles otherwise agreed. If an account becomes overdue, supplies will be suspended until the account is brought up to date . A 3% interest charge above base rate will be applied in accordance with current legislation. Credit may be withdrawn if a company has been inactive for a period of 1year. A company may be asked to pay in advance, in order to establish a track record and to qualify for credit terms.

Faulty Goods

Check fabrics and make sure you are satisfied with all aspects before cutting. Mistakes in labelling can happen. Every order is carefully inspected but errors can be made and damage may occur in transit. Damaged parcels must be noted on the courier’s delivery note. Any claims must be notified within 7 days of receipt of the goods being received.

Returned Goods

Any returned goods, subject to prior agreement and the discretion of Nile & York, will incur a 20% restocking/handling charge, unless faulty. The goods should be returned within 30 days of the delivery date. Return charges are the responsibility of the customer, unless faulty and goods should be in the original and undamaged packaging. We are unable to accept returned goods once they have been cut or further processed.

Contract and Special Orders

Nile & York Ltd require immediate invoice payment for goods produced specifically for a contract or as a one-off product. Any additional costs incurred, for example, for storage, will also be charged extra until the goods are delivered or collected. Where the customer refuses or fails to take delivery of the goods produced in accordance with the contact or product specification, Nile & York Ltd reserve the right to dispose of the goods after 3 months.

Third Party Deliveries

The customer is responsible for making sure the goods are correct in all respects, regardless of where the goods are delivered on behalf of the customer.

Intellectual Property

The designs, images, company trading styles and products are the property of Nile & York Ltd. Copies for reproduction of any Nile & York property cannot be made without our written permission. Extracts for personal or non-commercial use can be printed or downloaded to a hard drive and can be copied to a third party if the source is acknowledged.

Liability

All goods supplied by Nile & York are supplied on the condition that our liability for any fault or defect in the quality, condition, description or fitness for purpose is limited to a sum not exceeding the purchase price of the particular goods. Once cut or handed to a third party we cannot accept responsibilty for any errors which occasionally do occur. There are no circumstances where Nile & York will be liable for any indirect or consequential loss or damage.

Governing Law

Any contract between you the customer and Nile & York shall be governed by and interpreted in accordance with English law, and the English courts shall have jurisdiction to resolve any disputes between us.

Title

Goods supplied by Nile & York and kept by the customer will remain the property of Nile & York until full payment is received.
